These Terms and Conditions (“Terms”) constitute a legally binding agreement between VeraxBio LLC (“VeraxBio,” “we,” “us,” or “our”) and any individual or entity (“Member”) accessing or using veraxbio.com and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use immediately.

1. Nature of Services and RUO Designation

VeraxBio is a research-use-only (RUO) peptide supplier. All products sold by VeraxBio are intended strictly for in vitro laboratory and research purposes. They are not approved by the U.S. Food and Drug Administration (FDA) for any diagnostic, therapeutic, or prophylactic application, and are not intended for human or veterinary consumption or administration.

VeraxBio does not provide medical advice, telehealth consultations, diagnoses, or treatment plans. No physician-patient relationship is established through use of the Services. Members are solely responsible for ensuring that any use of purchased compounds complies with all applicable federal, state, and local laws and regulations.

2. Eligibility

You must be at least 18 years of age and legally competent to enter into binding contracts to access or use the Services. Access is restricted to qualified researchers, licensed professionals, and entities operating in compliance with applicable laws governing the purchase and use of RUO compounds. By completing a purchase, Members represent that products will be used for research purposes only, consistent with the VeraxBio Acceptable Use Policy.

3. Membership, Billing, and Subscriptions

Membership is subject to approval and may include an application process, identity verification, and payment of applicable fees. Approval does not constitute any medical, professional, or regulatory endorsement.

VeraxBio offers the following subscription tiers:

Monthly – billed month-to-month at the standard rate, no discount.
Quarterly (3-month prepay) – 10% discount applied to the prepaid total.
Semi-Annual (6-month prepay) – 18% discount applied to the prepaid total.
Annual (12-month prepay) – 25% discount applied to the prepaid total.

All fees are billed in U.S. dollars. Prepaid subscriptions are non-refundable except as set forth in the Shipping & Refund Policy. VeraxBio reserves the right to modify pricing or subscription structures upon no less than 14 days’ prior written notice to active Members.

Members are responsible for maintaining accurate billing information. Failed payments may result in suspension or termination of Services.

4. Product Liability and Third-Party Manufacturers

VeraxBio sources compounds from U.S.-based manufacturers and requires independent third-party certificate-of-analysis (CoA) documentation for all products, encompassing purity, potency, and endotoxin testing. Per-vial chain-of-custody integrity is supported through AuthentiChain™ NFC verification technology, a proprietary system developed and owned exclusively by a third-party technology provider. VeraxBio holds a partner integration license only and makes no claims of ownership over AuthentiChain intellectual property.

VeraxBio does not manufacture any compounds and does not assume liability for product defects, manufacturing errors, or adverse effects arising from the use of compounds for any purpose. Members must notify VeraxBio immediately upon identifying any suspected product defect, contamination, or labeling discrepancy.

5. Voluntary Participation and Assumption of Risk

All purchases and use of VeraxBio products are voluntary and undertaken entirely at the Member’s own risk. Members assume full and sole responsibility for compliance with all applicable federal, state, and institutional regulations governing the acquisition, storage, handling, and use of RUO compounds.

6. Intellectual Property

All proprietary content on the VeraxBio platform—including website content, product documentation, verification frameworks, brand assets, and digital tools—is owned exclusively by VeraxBio LLC or its licensors. Unauthorized reproduction, redistribution, or commercial use of any such content is strictly prohibited and may result in legal action.

7. Limitation of Liability

To the maximum extent permitted by applicable law, VeraxBio LLC, its affiliates, officers, directors, employees, contractors, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the Services, including but not limited to:

Use or misuse of RUO compounds for any purpose.
Acts or omissions of third-party manufacturers, suppliers, or logistics providers.
Service disruptions, product shortages, or delays caused by regulatory changes, supply chain disruptions, natural disasters, pandemics, or other Force Majeure events.
Unauthorized access to Member accounts resulting from Member negligence.

VeraxBio’s total aggregate liability to any Member shall not exceed the amount paid by that Member to VeraxBio in the 90 days preceding the event giving rise to the claim.

8. Indemnification

Members agree to indemnify, defend, and hold harmless VeraxBio LLC, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

Any use of VeraxBio products outside of their designated RUO context.
Violation of these Terms or any applicable law or regulation.
Misrepresentation of Member’s qualifications, research purpose, or intended use.
Any claim brought by a third party arising from Member’s conduct in connection with the Services.

This indemnification obligation survives termination or expiration of these Terms.

9. Data Privacy

VeraxBio’s collection, use, storage, and sharing of Member personal data is governed by the VeraxBio Privacy Policy, which is incorporated herein by reference and includes the Cookie Policy and CCPA Notice for California residents. By using the Services, Members consent to the data practices described therein.

10. Modifications to Terms

VeraxBio reserves the right to amend or update these Terms at any time. Material changes will be communicated to active Members via email or a prominent notice on the website no less than 14 days prior to the change taking effect. Continued use of the Services following the effective date constitutes acceptance of the revised Terms.

11. Termination

VeraxBio reserves the right to suspend or terminate any Member’s access to the Services at its sole discretion, with or without cause, including for violation of these Terms, the Acceptable Use Policy, or regulatory necessity. Termination does not relieve Members of obligations accrued prior to termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

Any dispute arising under or relating to these Terms shall be resolved exclusively through binding individual arbitration administered in the State of Wyoming. Members waive the right to participate in class action lawsuits, collective claims, or any other representative proceeding. Before initiating arbitration, Members must submit a written notice of dispute to hello@veraxbio.com and allow 30 days for informal resolution.

13. Wholesale and B2B Members

This Section applies exclusively to entities and individuals purchasing VeraxBio products under a wholesale or business-to-business arrangement. All other Terms apply in addition to this Section.

13.1 Wholesale Agreement Requirement

Wholesale purchasing access requires a separately executed Wholesale Agreement between the purchasing entity and VeraxBio LLC. No wholesale pricing, terms, or access will be extended without a current, executed agreement on file. VeraxBio reserves the right to approve or decline any wholesale application at its sole discretion.

13.2 Qualified Wholesale Purchasers

Wholesale accounts are available exclusively to:

Registered research organizations, biotechnology companies, and commercial laboratories.
Licensed distributors operating under appropriate state and federal authorizations.
Academic institutions and government research agencies.
Other entities approved in writing by VeraxBio on a case-by-case basis.

All wholesale purchasers must meet the Qualified Purchaser criteria set forth in the VeraxBio Acceptable Use Policy and represent that all products will be used or distributed for legitimate RUO purposes only.

13.3 Minimum Order Quantities

Wholesale orders are subject to minimum order quantities (MOQs) as specified in the applicable Wholesale Agreement or current wholesale price schedule. VeraxBio reserves the right to modify MOQs upon written notice. Orders below applicable MOQs will be processed at standard retail pricing.

13.4 Payment Terms

Unless otherwise specified in the applicable Wholesale Agreement, wholesale orders are due in full at the time of order placement. Extended net payment terms (e.g., Net-15, Net-30) may be made available to qualified wholesale accounts at VeraxBio’s discretion and will be documented in the Wholesale Agreement. Late payments on net terms accounts will accrue interest at 1.5% per month on the outstanding balance.

13.5 Resale Restrictions

Wholesale Members who are authorized to resell VeraxBio products are subject to the following restrictions:

Products may only be resold to end purchasers who meet the Qualified Purchaser criteria in the Acceptable Use Policy.
Products must be resold in original, unaltered packaging with all AuthentiChain™ verification intact.
Products may not be repackaged, relabeled, diluted, combined, or otherwise modified prior to resale.
Resellers may not represent VeraxBio products as pharmaceutical-grade, clinical-grade, or fit for human use in any customer-facing communication.
Resellers are solely responsible for ensuring that downstream purchasers acknowledge and agree to RUO use restrictions at the point of sale.

Unauthorized resale, resale to unqualified purchasers, or resale in violation of these restrictions constitutes a material breach of these Terms and the Wholesale Agreement, and will result in immediate account termination and may result in legal action.

13.6 Wholesale Pricing Confidentiality

Wholesale pricing, discount structures, and terms communicated by VeraxBio to wholesale Members are confidential. Wholesale Members must not disclose VeraxBio’s wholesale pricing to any third party without VeraxBio’s prior written consent. Breach of this confidentiality obligation constitutes a material breach of these Terms.

13.7 Cold-Chain Responsibility

Title and risk of loss for wholesale orders transfer to the wholesale Member upon delivery to the carrier at VeraxBio’s fulfillment location. Wholesale Members are solely responsible for maintaining cold-chain integrity from the point of carrier pickup through final delivery to the end recipient. VeraxBio is not liable for product degradation resulting from cold-chain failures occurring after handoff to the carrier.

13.8 Wholesale Refund and Return Terms

Wholesale orders are subject to the all-sales-final policy set forth in the Shipping & Refund Policy. Exceptions for damaged, defective, or lost shipments follow the same process as retail orders. Wholesale-specific return or credit arrangements, if any, must be documented in the applicable Wholesale Agreement.

13.9 Compliance Obligation

Wholesale Members assume full responsibility for compliance with all federal, state, and local laws governing the distribution, storage, and sale of RUO compounds in their operating jurisdiction. VeraxBio is not liable for any regulatory violation arising from a wholesale Member’s distribution or resale activities.
